Employer of Record
A Cyprus company that legally employs your staff, runs payroll, pays contributions and holds the contract, while you direct the work. You pay it a monthly fee per person.
For a company in the US, UK, EU or Israel hiring its first people in Cyprus. Model the three-year cost of each route, find the headcount at which your own company pays for itself, and test whether your Cyprus staff could make your company taxable here.
Cyprus has no law written for Employers of Record. The answer comes from general employment law, the 2012 temporary agency work law, social insurance rules and the permanent establishment test in tax treaties. Six of these rows still need the adviser's sign-off.
| Rule | Value | Status |
|---|---|---|
| Legal status of an Employer of Record | No dedicated law. The provider is the legal employer under general Cyprus employment, tax and social insurance law, and your company directs the daily work | Confirm |
| Temporary agency work | Law 174(I)/2012, amended by Law 87(I)/2021, transposing EU Directive 2008/104. Supplying workers to a user business needs a Ministry of Labour licence and gives the workers equal treatment. Whether a given Employer of Record falls inside it depends on how it is set up | Confirm |
| Length of an assignment | No fixed maximum found in the 2012 law. Fixed-term contracts become open-ended after 30 months in total under Law 98(I)/2003, unless there is an objective reason | Confirm |
| Social insurance, employer share | 8.8% on earnings up to €68,904 a year, or €5,742 a month | In law |
| Redundancy Fund and training levy | 1.2% and 0.5%, on the same capped earnings | In law |
| Social Cohesion Fund | 2.0% on total earnings, with no cap | In law |
| General Healthcare System, employer share | 2.90% on earnings up to €180,000 a year | In law |
| Total employer cost, either route | About 15.4% of salary below the social insurance cap. The same whether an Employer of Record or your own company is the employer | In law |
| Permanent establishment, fixed place | A fixed place of business through which the foreign company carries on its business, such as an office or a place of management. Profits attributable to it are taxed in Cyprus at 15% | In law |
| Permanent establishment, dependent agent | A person who habitually concludes contracts in the foreign company's name creates one, whoever employs that person. An independent agent acting in the ordinary course of business does not | In law |
| Wider agent test, multilateral instrument | Cyprus adopted only the minimum standards of the OECD multilateral instrument, so the wider "principal role in concluding contracts" test generally does not reach its treaties | Confirm |
| Company tax residence | From 2026 a company incorporated in Cyprus is resident unless a treaty says otherwise. A company managed and controlled in Cyprus is also resident | In law |
| Inventions made by employees | Belong to the employer unless the contract says otherwise, with a right to fair remuneration. Patents Law 16(I)/1998, section 11 | In law |
| Copyright in work by employees | Treated as passing to the employer for work done in the course of employment, unless agreed otherwise. Under an Employer of Record the employer is the provider, so a written assignment to your company is needed | Confirm |
| Company of foreign interests | €200,000 investment, an office separate from any home, highly paid staff from €2,500 gross a month on contracts of at least two years. An Employer of Record can use the route only if it is registered itself | Confirm |
| Employee share options | From 1 January 2026, options under schemes approved by the Tax Department are taxed at 8%, on up to €1m over ten years, instead of at income tax rates up to 35% | In law |

Assumptions. Headcount for each year applies to all twelve months of that year, and new hires are counted when headcount rises. Employer contributions per employee are social insurance 8.8%, Redundancy Fund 1.2% and training levy 0.5% on salary up to €68,904 a year, Social Cohesion Fund 2.0% on all salary, and General Healthcare System 2.90% on salary up to €180,000. These are the same on both routes. The Employer of Record fee is charged per employee per month, plus any one-off fee for each new hire. Own company costs are setup in month 1, running cost spread evenly by month, and a payroll provider fee per employee. The model assumes your company is ready in month 1. In reality it takes 6 to 10 weeks, and many groups bridge that gap with an Employer of Record. Break-even headcount is the constant headcount at which the own company is no dearer over 36 months. Thirteenth salary, benefits, VAT on fees, currency movements, conversion fees and the cost of your own management time are not modelled. All fees are a typical market range, not an Aqualis quote.
The vocabulary of hiring abroad is full of overlapping labels. These are the ones that change the answer in Cyprus.
A Cyprus company that legally employs your staff, runs payroll, pays contributions and holds the contract, while you direct the work. You pay it a monthly fee per person.
Your own Cyprus subsidiary, usually a private company limited by shares. It employs staff directly, files its own accounts and tax returns, and pays 15% corporation tax on its profit.
A self-employed person who invoices you. Cheap and fast, but if they work only for you, on your hours and under your direction, the law may see an employee.
A taxable presence of your foreign company in Cyprus. If one exists, the profit it earns here is taxed here at 15%, and your company must file in Cyprus.
Someone in Cyprus who habitually concludes contracts in your company's name. Being employed by an Employer of Record does not make that person independent.
A written transfer of the rights in code, designs and inventions to your company. Under an Employer of Record the default owner is the provider, so the chain must be on paper.
A charge some providers make when you move an employee onto your own payroll within a set period. It can be nothing or a share of salary. Read the clause before signing.
Once you have your own company, a local provider runs monthly payroll, payslips, social insurance and tax filings for a per-employee fee. You remain the employer.

An Employer of Record is the legal employer on paper. It issues a Cyprus employment contract, runs payroll, deducts income tax, pays social insurance and General Healthcare System contributions, and handles leave and notice under Cyprus law. You choose the person, set the work and pay the provider's invoice.
Cyprus contract, payroll and payslips
Employer registration with Social Insurance and the Tax Department
Monthly contributions and year-end employer returns
Statutory leave, sick pay and notice administration
Permanent establishment risk for your own company
Ownership of the IP your people create
Who signs customer contracts and where decisions are made
Equity plans, and most non-EU work permits
The provider removes administration, not judgement. The tax position of your own company depends on what your people do, not on whose payroll they sit. Ask the provider in writing how it treats IP, what it charges to convert staff later, and whether it holds a licence under the 2012 temporary agency work law.
A permanent establishment is the point at which your foreign company stops merely employing someone in Cyprus and starts doing business in Cyprus. Cyprus tax treaties follow Article 5 of the OECD model, and Cyprus domestic law taxes a non-resident company on profits from a permanent establishment here.
There are two main tests. The fixed place test asks whether your company has a place of business at its disposal in Cyprus, used for its core work over a period of months, such as an office rented for the team. The dependent agent test asks whether someone in Cyprus habitually concludes contracts in your company's name.
An Employer of Record changes who employs the sales director. It does not change what the sales director does.
If a permanent establishment exists, the profit attributable to it is taxed in Cyprus at 15%, your company files a Cyprus return, and your home country normally gives credit. Senior managers taking the key decisions in Cyprus raise a further question: whether the company is managed from here. The risk screen in section 05 tests all of this.
Many groups start on an Employer of Record and move staff to their own Cyprus company once headcount justifies it. The move is a change of employer, so plan it like one.
Done in this order, staff see a new payslip header and nothing else. Adviser to confirm how prior service is treated for redundancy in each case.
Each is run through the three tools on this page with the default fees: €550 a month per employee for the Employer of Record, €4,000 to set up a company, €40 a month per employee for payroll.
Two engineers on €54,000 each, writing code for the Israeli parent. Nobody in Cyprus sells or signs. The founders plan to stay at two for at least a year.
A payments company building a Nicosia operations team on €60,000 average. Six people on average in year one, twelve from year two. Running cost of its own company set at €12,000 a year.
A director on €90,000 who negotiates and signs customer contracts in Cyprus and Greece in the US company's name. Employed through an Employer of Record, works from home.
Answer for what people actually do, not what their job title says. The screen applies the fixed place test, the dependent agent test and the place of management question. It is a screen, not an opinion.

How it scores. Office: 0, 1.5 or 3 points, halved when the arrangement lasts under 6 months, because a fixed place needs some permanence. Signing contracts: 0, 1.5 or 4 points. Negotiating: 0, 0.5 or 2.5 points, with signing and negotiating together capped at 5. Senior management: 0, 1 or 4 points. Cyprus revenue: 0, 0.5 or 1 point. Plus 0.5 where the arrangement lasts 24 months or more and any office or agent factor is present. Low is under 2, medium is 2 to under 5, and high is 5 or more. Habitual signing, or key decisions taken in Cyprus, is always high. Treaties differ, and Cyprus applies only the minimum standards of the OECD multilateral instrument, so the wider "principal role" agent test is treated here as a warning sign rather than a trigger. The screen does not cover construction sites, service permanent establishments under particular treaties, or VAT.
Cost is one of six criteria. Set a weight from 0 to 5 for each. The cost score is taken from your result in Tool 1, so change the hiring plan above and this matrix moves with it.
Source: Aqualis scoring. Route positions are fixed. The dot moves towards the routes your weights favour.
Scores, 1 to 5. Speed: Employer of Record 5, own company 2, contractor 5. Control: 3, 5, 1. IP protection: 3, 5, 2, because an Employer of Record needs an assignment chain and a contractor's work needs an express transfer. Non-EU permits: 2, 4, 1, because the fast-track route requires a registered company of foreign interests with €200,000 of investment. Equity plans: 3, 5, 2, because the 8% regime is built around schemes of the employer and its group. Cost: from Tool 1, own company 5 and Employer of Record 2 if the own company breaks even within 12 months, 4 and 3 within 24 months, 3 and 4 within 36 months, and 2 and 5 if it does not break even. Contractor cost is fixed at 4. Each route's total is the weighted average scaled to 100. If every weight is zero, all weights count equally. Contractor misclassification risk is shown as a warning, not scored.
The route most groups take: people on an Employer of Record within weeks, their own company running alongside, then a clean switch.

Settle or carry over accrued leave, and sign fresh IP assignments with the new employer.Fourteen questions in plain terms. Each answer carries the review date in this page's structured data.
Ask one we missed →Yes. Cyprus has no law written for Employers of Record, but the model works under general employment, tax and social insurance law, with the provider as the legal employer. The open question is whether a particular provider also falls under the 2012 temporary agency work law, which needs a licence. Ask your provider which basis it operates on.
A business that supplies workers to other businesses as a temporary work agency needs a licence from the Ministry of Labour under Law 174(I)/2012. Whether an Employer of Record is caught depends on how it is structured and how the work is directed. Sources do not settle this, so ask the provider for its licence or its legal opinion.
We found no fixed maximum for an assignment in the 2012 law. Fixed-term contracts become open-ended after 30 months in total under the fixed-term work law, so most providers employ on open-ended contracts. Long arrangements raise the permanent establishment question more than the employment one.
No. The tests look at what your people do and where your company does business. A salesperson who habitually signs contracts in your company's name, or managers who take key decisions in Cyprus, can create a taxable presence whoever employs them.
Major providers publish list prices of about $599 to $699 per employee per month, roughly €450 to €700 depending on billing and exchange rates. That is on top of salary and the employer contributions of about 15.4%. Treat this as a typical market range, not an Aqualis quote.
Typically 6 to 10 weeks from instruction to a working bank account. Registration with the Registrar of Companies takes one to three weeks. The bank account usually takes longest, because banks review ownership, source of funds and the business plan.
With a €550 monthly fee, €4,000 setup, €9,000 a year running cost and €40 a month payroll, two employees held for three years is enough. At lower fees or higher running costs the figure rises to three or four. Use the cost model above with your own quotes.
No. The same rates apply to every Cyprus employer: social insurance 8.8%, Redundancy Fund 1.2% and training levy 0.5% up to €68,904 a year, Social Cohesion Fund 2.0% on all pay, and General Healthcare System 2.90% up to €180,000. Below the cap that is about 15.4%.
By default the legal employer, which is the provider. Patent rights in inventions go to the employer unless the contract says otherwise, and copyright in work done in the course of employment is treated the same way. You need a written assignment from the employee and the provider to your company, ideally in the employment contract and the service agreement.
Only through the routes open to any Cyprus employer. The faster company of foreign interests route requires the employer itself to be registered with the Business Facilitation Unit, with €200,000 of investment and its own office. Some providers are registered, many are not. Ask before you rely on it.
You can grant them, but the new 8% Cyprus rate applies to options under schemes approved by the Tax Department. Whether staff employed by an unrelated provider qualify under your group's scheme is not settled. Without approval, the gain is taxed as employment income at rates up to 35%.
For genuinely independent work, yes. If the person works only for you, on your hours, with your equipment and under your direction, the authorities may treat them as an employee. That brings back-dated contributions, possible surcharges and employment rights, and does nothing to reduce permanent establishment risk.
They change employer. Issue new contracts from your company, recognise their original start date in writing, end the old contracts by agreement on the same day, and check the provider's conversion fee. Done well, nothing changes for the employee except the name on the payslip.
It pays 15% corporation tax on its own profit, and charges to the parent need transfer pricing support, usually a cost-plus margin. From 2026 a company incorporated in Cyprus is tax resident here unless a treaty says otherwise. It also takes the permanent establishment question away from your foreign company, provided the subsidiary does not act as the parent's agent.
